Our featured speaker for this month's breakfast is Family Business Insider Ted Metzger.

Theodore “Ted” J. Metzger is a Member in the Trust & Estates Department at Rosenberg & Estis, P.C. He joined the firm in 2021, bringing more than four decades of experience in trust and estate planning, business transactions, and real estate. A graduate of Columbia Law School, where he earned his J.D. in 1978 and was recognized as a Harlan Fiske Stone Scholar, Ted has built a career advising clients on sophisticated legal and financial strategies that protect and grow family wealth.

Ted concentrates his practice on the unique needs of family businesses and multigenerational wealth planning. He helps owners structure and implement tax-efficient strategies to transfer assets, preserve business continuity, and strengthen family legacies. His work includes the use of family limited partnerships, installment sales, intentionally defective grantor trusts, and spousal lifetime access trusts.

In addition to his trust and estate planning work, Ted represents families and closely held companies in major business and real estate transactions. His experience includes leading the sale of two privately held companies with a combined value exceeding $200 million and restructuring a family-owned entity to complete a $55 million refinancing of a Manhattan commercial property.

Ted also advises on commercial and residential real estate transactions, joint ventures, and corporate structuring. His comprehensive approach ensures that family business owners have aligned legal, tax, and operational strategies to protect their assets and position future generations for success.

    This month's topic:

    Succession Planning for Family Businesses

During our time together you will discover:

    • First, how to reduce owner dependence and build transferable value, so the business can run without being tied to one person.
    • Second, how to strengthen your leadership and talent pipeline, ensuring there’s a plan for who will step up and where outside hires are needed.
    • Third, how to address governance and family dynamics, including ownership structures, decision-making, and conflict resolution.
    • Fourth, how to prepare for financial readiness and estate planning, covering taxes, buy-sell agreements, and wealth transfer strategies.
    • Fifth, how to set the right strategic timing and exit options, whether that means passing the business internally or selling to an outside buyer.
